Who this is between
Shofol is published by Appifly BD Ltd. ("Appifly", "we"), a company registered in Bangladesh. "You" means the business that signs up, and the person who accepts these terms does so on that business's behalf.
By ticking the box on the signup form, you confirm you are authorised to agree to this on behalf of that business.
What Shofol is
Shofol is business software delivered over the internet. Depending on what you subscribe to, it covers accounting, sales, inventory, point of sale, HR and payroll, CRM, field force and an online store.
You subscribe to modules. A module you have not paid for is not available, and switching one on changes what you owe from the month it is switched on.
Your account
- You are responsible for what happens under your account, including what the people you invite do in it.
- Keep your passwords to yourself. If you think somebody else has them, change them and tell us.
- Give us a real email address. It is where invoices, security notices and anything time-critical go.
- You decide who in your business sees what, through roles and branch assignments. We do not police that for you.
Who owns your data
Your data is yours. Your customers, suppliers, products, invoices, staff records and everything else you put into Shofol belong to your business, not to us.
We hold it to run the service for you: to show it back to you, to back it up, and to fix things when they break. We do not sell it, and we do not use it to advertise to you or to anybody else.
Our staff do not read your data as a matter of course. We access it only when you ask us to help with something, or where we have to in order to keep the service running or to meet a legal obligation.
You can export your data at any time while your subscription is active. How long we keep it after you leave is in Ending it.
Paying for it
- A month is metered as it is used, and the invoice is raised once the month has finished. You are billed for what you actually had switched on.
- Prices are in Bangladeshi Taka and exclude VAT unless the invoice says otherwise.
- If an invoice goes unpaid past its due date, we may put the account into read-only: you can still see and export everything, but not add to it. We will tell you before that happens.
- We may change prices. Existing subscribers get at least 30 days' notice, and a change never applies to a month already invoiced.
What you may not do
- Use Shofol to break the law, or to store data you have no right to hold.
- Resell or sublicense the service without a written agreement with us.
- Try to break into other companies' data, or to get around the limits of what you have paid for.
- Load the service in a way designed to degrade it for others.
- Copy, decompile or reverse engineer the software.
If any of this happens we may suspend the account. Where the situation allows it, we will tell you first and give you a chance to put it right.
Availability and backups
We aim to keep Shofol available and we take backups, but no internet service is available every minute of every year. Planned maintenance is announced in advance where we can.
Backups are ours, for restoring the service after a failure. They are not a substitute for your own export. If your data matters to you — and it does — export it periodically and keep a copy you control.
What we are responsible for
We are responsible for running the service with reasonable care and skill, and for the security commitments described in this agreement.
We are not responsible for decisions you take based on figures you entered, for loss caused by somebody in your business misusing their access, or for loss you could have avoided by keeping your own export.
Where the law allows a limit, our total liability in any twelve-month period is limited to what you paid us in that period.
Nothing here limits liability that cannot be limited under Bangladeshi law.
Ending it
You can stop at any time. Tell us, and the subscription ends at the end of the month you have been billed for; we do not lock you into a term.
We may end the agreement if an account goes unpaid well past its due date, or for a serious breach of What you may not do.
What happens to your data
- Export first. Do it before you close the account, while everything is still in front of you.
- After the account closes we keep your data for 30 days, so an account closed by mistake can be brought back.
- After that it is deleted from the live system. Backups age out on their own retention cycle.
- We keep what the law requires us to keep — invoices between you and us, for instance — for as long as it requires.
Changes to these terms
These terms carry a version, shown at the top of this page. When we change them in substance we raise the version and tell existing customers by email before it takes effect.
The version you agreed to is recorded against your account on the day you agreed to it. Rewriting this page does not change what you signed.
Law and disputes
This agreement is governed by the laws of Bangladesh, and the courts of Dhaka have jurisdiction.
Before anything goes near a court, write to us. Most disagreements are a misunderstanding about what a number means, and those are settled in an afternoon.
